Preamble & Legal Framework
These Terms of Use and OEM/ODM Bag Manufacturing Terms ("Terms" or "Agreement") constitute a legally binding agreement between your organization ("Buyer", "Client", or "Brand") and Dongguan TelvaBag Workshop Co., Ltd. ("TelvaBag Atelier", "we", or "us"). Accessing our website (www.telvabag.com), submitting technical packages, or commissioning prototype sampling and bulk manufacturing signifies full acceptance of these operational standards.
1. Scope of Engagement & Manufacturing Models
Our atelier delivers bespoke bag manufacturing under two rigorous commercial models:
- Original Equipment Manufacturing (OEM): The Client provides proprietary tech packs, vector files, CAD patterns, or physical master samples. TelvaBag manufactures strictly to millimeter tolerances, stitch density parameters, and agreed fiber compositions.
- Original Design Manufacturing (ODM): The Client selects from atelier-developed proprietary silhouettes and customizes embroidery motifs, botanical dye palettes, lining fabrics, and branded hardware.
2. 10-Day Express Prototyping & Golden Sample Sign-Off
To eliminate sampling ambiguities, we operate under an institutional Golden Sample Sign-Off Protocol:
- 10 Business Day Turnaround: Upon technical pack sign-off and receipt of the sample fee, a physical sealed sample ships within 10 business days via DHL Express.
- Sole Binding Quality Benchmark: Upon receipt, the Client provides formal written approval. The approved physical specimen ("Golden Sample") constitutes the sole binding technical and aesthetic standard for subsequent bulk inspection, seam shear stress, and needlework density.
3. 100% Sample Fee Credit & Refund Policy
We are committed to empowering emerging boutique brands. To minimize barrier to entry, our atelier operates an explicit 100% Sample Fee Refund Policy: When a commercial bulk production order reaches or exceeds 200 pieces (across standard colorways of the same silhouette), the initial prototype sampling fee and digitized embroidery tape fee will be 100% credited against the final bulk production balance invoice.
4. Production Tolerances, AQL 1.5 Inspection & Needle Detection
Because our bags incorporate natural long-staple cotton, botanical dyes, and handcraft weaving, production conforms to recognized international standards:
- Handcraft Dimensional Tolerances: Minor dimensional variations of ±5mm in exterior dimensions and embroidery positioning are standard in artisan handwork; botanical dye vats may exhibit subtle batch-to-batch nuances under daylight.
- Quantity Over/Under Run: Commercial production lots adhere to the standard international trade tolerance of ±3% in final yield, invoiced precisely to finished export carton count.
- AQL 1.5 Quality Standard: All export shipments undergo full inspection in accordance with ISO 2859-1 (AQL 1.5 Level II). Every finished unit 100% passes dual-head high-sensitivity needle detector systems prior to export carton sealing.
5. Intellectual Property & Exclusive Hardware Molds
We uphold uncompromising exclusivity standards for custom brand developments:
- Absolute Client Copyright Ownership: All original artworks, embroidery stitch mappings, silhouettes, and trademarks supplied by the Client remain 100% the exclusive intellectual property of the Client. We will never duplicate, license, or sell Client designs to third parties.
- Dedicated Tooling & Molds: Custom brass stamping dies, custom hardware molds, and digitized embroidery files paid for by the Client are quarantined exclusively for the Client's production runs and will never be deployed for other clients.
6. Incoterms & Global Freight Logistics
We support international commercial shipping terms under standard Incoterms 2020:
- FOB (Free on Board): Default ports are Shenzhen (Yantian/Shekou) or Guangzhou (Nansha). TelvaBag handles domestic transport, export export clearance, and supplies Certificate of Origin (COO), commercial invoice, and detailed packing list.
- DDP (Delivered Duty Paid): Complete door-to-door air or ocean express freight with customs duties and clearance prepaid, delivered directly to your commercial warehouse.
7. Force Majeure & Governing Law
Neither party shall be held liable for delays arising from unforeseeable events beyond reasonable control, including war, catastrophic natural events, or severe export port closures. Parties agree to resolve commercial disputes amicably in good faith; failing resolution, matters shall be submitted to the competent commercial arbitration commission located in the atelier's registered corporate jurisdiction.
